Her areas of expertise include corporate matters with an emphasis on foreign direct investment, corporate transactions, mergers and acquisitions and financings. She has led numerous merger and acquisition projects, involving full due diligence and the drafting and review of transactional documents.

Nalanta specializes in Thai and international tax laws and is experienced in tax structuring for both inbound and outbound investments.

  • Representing the client in the EUR 2 million asset sale and purchase transaction in the well- established food delivery service provider in Thailand.
  • Advising and providing every aspect of legal assistance to a multinational gas and engineering company throughout its establishment in Thailand and in particular, tax issues.
  • Representing a Swiss branch office in the negotiation with the landlord which resulted in a favorable deal being obtained in order to meet the requirement of the client’s headquarter.
  • Extensive experience in the bankruptcy and absolute receivership proceeding. Successfully obtained debt repayment for the client.
  • Representing a foreign director and its foundation funded by the US on a complex case of tax filing inspection before the Revenue Department which resulted in a successful minimization of the assessable tax.
  • Advising on double taxation and tax compliance for a French citizen who paid taxes in Thailand and earned the taxable dividend in the US to enjoy the tax privilege of US-TH DTA. Successfully minimize client’s tax burden in the US and claim a tax credit in Thailand.
  • Acting and conducting due diligence for the multinational contractor company on land ownership, corporate status, zoning restrictions and other issues before executing the Lease Agreement and relevant contracts. Successfully set up the new plant for the company for production expansion in South East Asia and Australia which resulted in the company’s sales improving by 2 %.
  • Advising and conducting the registration of various companies, foreign branch office, and NGOs.
  • Overseeing the proceed of shareholders’ meeting and board of Director Meeting of the companies in the Group of Hotel and logistic multi-companies.
  • Advising and implementing the two-tier corporate structure for various international corporations to effectively minimize legal risks.
  • Investigating the fraudulent of the employee’s misconduct and successfully representing a client in negotiation and termination of employment without the benefit of severance pay.
  • Drafting, reviewing and revising legal documents, agreement, MoUs, Sale Agreement, Confidential Agreement and other legal documental necessary for the business requirement.
